These Terms of Supply apply to enquiries, quotations and orders for products supplied by Biomedica Co., Ltd., trading as Biomedica (“Biomedica”, “we”, “us” or “our”).
By placing an order with Biomedica, the customer (“you” or “your”) agrees to the applicable terms of supply, together with any written quotation, order confirmation or separate agreement that applies to the order.
Where a separately signed agreement or written order-specific agreement conflicts with these terms, the order-specific agreement will take precedence to the extent of the inconsistency.
Biomedica supplies concentrated human trophoblast stem cell (hTSC)-derived Secretome containing exosomes for research use only.
Product formats may include:
Availability, specifications, pricing, quantities and lead times will be confirmed in writing for each order.
The product is supplied as Secretome containing exosomes, not as isolated exosomes in a standalone preparation.
All products are supplied exclusively for research use only (RUO).
The products must not be used for human or veterinary administration, diagnosis, prevention or treatment of disease, or any other purpose prohibited by the applicable product documentation, supplier restrictions or law.
The customer is responsible for ensuring that the intended research use, handling, storage, transport and any onward transfer of the material comply with applicable laws, institutional requirements and the relevant product documentation.
The customer must not misrepresent the product's identity, intended use, regulatory status or approved applications.
Nothing on our website constitutes medical advice or a representation that the product is approved for clinical or therapeutic use.
Product enquiries and quotations do not constitute an accepted order.
An order becomes binding when Biomedica confirms acceptance in writing, subject to any applicable conditions stated in the quotation or order confirmation.
Quotations are valid for the period stated in the quotation. If no validity period is specified, Biomedica may confirm or revise the quotation before accepting an order.
Orders are subject to product availability, supplier confirmation and any applicable regulatory or shipping requirements.
Prices, currencies, payment methods and payment deadlines will be stated in the relevant quotation or order confirmation.
Unless otherwise agreed in writing, payment must be made in accordance with the payment terms confirmed by Biomedica.
Biomedica may require advance payment or a deposit before commencing order fulfilment. Any deposit, cancellation conditions and refund arrangements will be communicated before the order is accepted.
The customer is responsible for any applicable bank charges, transfer fees, taxes, duties or other charges allocated to the customer under the agreed transaction terms or applicable law.
Biomedica may suspend fulfilment of an order where payment has not been received as agreed.
Shipping arrangements, estimated dispatch dates, delivery destinations and applicable charges will be confirmed for each order.
Delivery estimates are provided in good faith and may be affected by supplier availability, transport conditions, customs clearance or other circumstances outside Biomedica's reasonable control.
The customer is responsible for providing accurate delivery information and any documentation reasonably required for lawful shipment and receipt of the products.
Responsibility for shipping costs, customs duties, import approvals and the risk of loss or damage during transport will be determined by the written order terms and any agreed Incoterms, where applicable.
Biomedica does not guarantee a delivery date unless expressly agreed in writing and legally enforceable.
The product must be stored at −80°C in accordance with the applicable product documentation.
The customer is responsible for maintaining appropriate storage conditions after delivery, following handling instructions and taking reasonable steps to preserve the integrity of the material.
The customer should promptly inspect the shipment on receipt and notify Biomedica of any apparent damage, incorrect items or temperature-control concerns.
Any storage, transport or handling instructions supplied with the product should be followed.
Relevant product documentation will be provided as agreed for the applicable product or batch.
Documentation may include a Certificate of Analysis (COA), product specifications and available storage or handling information.
The documentation describes the product and the information available for the relevant batch. It does not constitute a guarantee of clinical efficacy, therapeutic benefit or suitability for a purpose outside the stated research use.
The customer is responsible for reviewing the documentation before using the material.
Cancellation requests must be submitted in writing. Whether an order can be cancelled, and whether any payment can be refunded, will depend on the order terms, the stage of fulfilment, any agreed non-refundable deposit and applicable law.
Due to the nature of biological materials and the need to maintain appropriate storage and handling conditions, returns are generally not accepted unless Biomedica agrees otherwise in writing or a return is required by applicable law.
If a shipment arrives damaged, contains an incorrect product or appears inconsistent with the agreed specifications, the customer should notify Biomedica promptly and provide relevant supporting information.
Biomedica will review reported issues and, where appropriate, discuss a suitable remedy in accordance with the order terms and applicable law.
Nothing in these terms excludes or limits any right or remedy that cannot lawfully be excluded or limited.
To the extent permitted by applicable law, Biomedica is not responsible for losses arising from use of the product outside its stated research purpose, failure to follow applicable storage or handling instructions, or use contrary to the product documentation or applicable law.
Nothing in these terms excludes liability for fraud, wilful misconduct or any other liability that cannot lawfully be excluded or limited.
Any other limitations of liability must be interpreted subject to applicable law and any separately agreed terms.
All intellectual property rights in the website and its original content remain with their respective owners.
Product documentation and website information must not be reproduced, altered or used in a misleading manner without appropriate permission.
The customer must not use Biomedica's name, trademarks or other branding in a way that implies an endorsement, approval or commercial relationship that does not exist.
Personal information is handled in accordance with our Privacy Policy and applicable privacy laws.
These terms and any dispute arising from them are subject to the laws of the Kingdom of Thailand, unless mandatory applicable law requires otherwise.
The parties will attempt to resolve disputes through good-faith discussions before pursuing formal legal remedies, where appropriate.
